Improving Corporate Governance
CMPort has fully followed the guidance of the State-owned Assets Supervision and Administration Commission of the State Council (SASAC) and the China Securities Regulatory Commission on further improving the quality and standardized operations of listed companies. We strictly adhere to laws and regulations, including the Company Law of the People’s Republic of China, the Securities Law of the People’s Republic of China, and the Code of Corporate Governance for Listed Companies. Moreover, we have developed rules such as the Articles of Association, Rules of Procedures of the Board of Directors, and Rules of Procedures for Shareholders’ Meetings, establishing a standardized corporate governance structure and scientific procedural rules. In 2023, the Shareholders’ Meeting, Board of Directors, Supervisory Board, and senior management rigorously adhered to standardized operational rules and internal procedures when making decisions and overseeing operations. Their commitment to information disclosure, standardized operations, ESG governance, and investor relations management garnered continuous recognition and affirmation from regulatory authorities and the capital market.
Enhancing Compliance Capability
CMPort rigorously complies with the United Nations Convention against Corruption, Anti-Monopoly Law of the People’s Republic of China, Anti-Unfair Competition Law of the People’s Republic of China, Interim Provisions on Prohibition of Commercial Bribery, and other pertinent laws and regulations in the host countries and regions. The Company continuously enhances its compliance management system, promotes compliant operations, and takes tangible steps to integrate compliance principles into business development.
Strengthening Risk Prevention and Control
CMPort continues to build a “six-in-one” risk management and internal control system (the “Risk Control”), and to improve the enterprise risk management(ERM) system. We have built a systematic risk control structure featuring coordination between the “Leading Group, Working Group, Functional Departments, and Execution Departments”, and carried out a lot of compliance risk control work centered on the business, so as to continue to enhance the ability of risk management.
Upholding Integrity and Combating Corruption
CMPort has practiced rigorous self-governance and remained committed to improving Party conduct, upholding integrity, and combating corruption on all fronts. The Company has consistently enhanced its integrity management system and integrity risk prevention and control mechanisms. It has established a cross-border anti-corruption governance body, comprising a leadership group and a working group. The leadership group is headed by CEO and composed of directors and executives.

Promoting supplier integrity
To guard against the risk of corruption and bribery in supplier collaboration, the Company strictly manages corruption risk points throughout various stages and takes into account the performance against corruption and bribery in supplier access, auditing, and assessment processes. Moreover, the Company regards supplier integrity as a forthcoming focus and plans to consistently broaden the scope of anti-corruption training for suppliers. This initiative is aimed at bolstering integrity awareness among suppliers.

The supervision and whistleblowing mechanism
The Company has developed and implemented the Measures for Handling of Problem Clues and Management of Cases, and established an open and transparent mechanism for the oversight and reporting of violations. The mechanism delineates the whistleblowing process, categorizing the handling of reported cases into four types: initial inquiry, preliminary verification, pending further investigation, and conclusion. The Company encourages organizations and individuals to report and expose any instances of disciplinary or illegal behavior.
Safeguarding Data Security
CMPort attaches great importance to data security. We have appointed the chief data officer, formulated the cybersecurity contingency plan, and taken measures to improve the information security management in all respects, providing a solid guarantee for the sustainable development of digital economy.
